Terms of Service

1. Acceptance of Terms

Welcome to Socratic Gate, operated by Guyzhong（个人开发者） (referred to as "we", "the Platform"). These Terms of Service ("Terms") govern your access to and use of our AI services, which include an evidence-driven product-opportunity screening and 48h MVP validation console (the "Service"), accessible at https://socraticgate.com.

By creating an account, subscribing to a plan, purchasing the Service, or otherwise using the Service, you confirm that: (a) you are at least 18 years old; (b) you have read, understood, and agree to be bound by these Terms; (c) you agree to our Privacy Policy; and (d) you are authorized to enter into this agreement on behalf of yourself or your organization.

Important note: if you do not agree to these Terms, please stop using the Service. Continued use after any updates constitutes acceptance of the revised Terms.

2. Description of the Service

The Platform provides an AI-assisted console built around a rule engine and evidence validation, enabling users to: submit product signals, fill in purchase-reason gates, build evidence ledgers, receive ten-dimension scoring verdicts, and move passing opportunities into 48-hour MVP validation. The Service is a digital software-as-a-service (SaaS) product delivered over the internet.

The Service is a digital, intangible product. Access is granted immediately upon payment confirmation. Due to the immediate delivery nature of digital services, refunds are subject to specific limitations (see Section 6).

3. AI Model Dependency and Disclosure

The AI assistant embedded in the Platform (which only produces drafts/suggestions, never adjudicates or writes evidence) uses DeepSeek-V4-Flash from the third-party AI model provider Fireworks AI (model ID: accounts/fireworks/models/deepseek-v4-flash-0731). The performance and availability of the Service may be affected by the provider’s operational status; significant outages will be communicated to users in a timely manner. AI output may contain errors or inaccuracies. You are responsible for reviewing and verifying any AI output before relying on it; AI output only takes effect after your explicit confirmation.

4. Account Registration

Using the Service requires creating an account with accurate, complete information. You are responsible for keeping your login credentials confidential and for all activity under your account. If you discover unauthorized use, contact us immediately (see Section 14 for contact information). Do not share login credentials with any third party. If you register on behalf of a company or organization, you represent that you are authorized to bind that entity to this agreement.

5. Subscription, Billing and Payment

5.1 The Service is subscription-based (Pro plan); the current price is the amount shown on the checkout page. By providing a payment method and subscribing to a paid plan, you expressly authorize recurring charges of the applicable subscription fees to your payment method (executed by the Merchant of Record you select at checkout — Creem or Waffo Pancake). This recurring authorization remains in effect until you cancel as described in Section 6. Your subscription auto-renews at the end of each billing cycle unless you cancel.

5.2 Unless otherwise stated, all prices exclude applicable taxes (including VAT, GST, sales tax, etc.). Applicable taxes are calculated, collected, and remitted by the Merchant of Record you select at checkout — Creem or Waffo Pancake — as required by law.

5.3 Payment processing: payments are handled by the Merchant of Record you select at checkout — Creem or Waffo Pancake. Your card data is handled by that PCI-DSS-compliant payment processor and is not stored on our servers.

6. Cancellation and Refund Policy

6.1 How to cancel: you may cancel at any time via the account subscription section on the Pricing page (/pricing) after signing in, via the “Manage billing” customer portal, or by sending a cancellation request to support@socraticgate.com from your registered email. Cancellation remains effective until the end of the current billing cycle, and no further charges will be made in subsequent cycles.

6.2 Refund policy: because our digital services are intangible and delivered immediately, subscription fees are generally non-refundable, except in the following cases:

Refund requests should be sent to support@socraticgate.com with your account email, transaction ID, and reason. We will confirm within 2 business days and issue the refund to the original payment method within 5–10 business days.

7. Billing Disputes

If you believe a charge is incorrect, please email support@socraticgate.com to contact us before raising a payment dispute with your bank. We commit to replying within 2 business days and resolving confirmed billing errors within 5 business days.

8. Acceptable Use

You may use the Service only for lawful purposes consistent with these Terms. For prohibited uses, content standards, reporting, and handling, see our Acceptable Use Policy (AUP), which together with these Terms constitutes the code of conduct for your use of the Service. In particular, you must not: generate illegal, defamatory, harassing, or fraudulent content; generate, distribute, or assist in creating deepfake content; generate content involving the sexualization of minors or violating child protection laws; infringe any third party’s intellectual property or privacy rights; bypass or interfere with the Service’s security features; or violate any applicable laws, regulations, or card rules.

9. Data, Privacy and Security

Your use of the Service is governed by our Privacy Policy. Payments are handled by the Merchant of Record you select at checkout (Creem or Waffo Pancake); card data is PCI-DSS-compliant and is not stored on our servers. Account data is retained for 90 days after cancellation or deletion and is then deleted or anonymized in accordance with the Privacy Policy.

10. AI Content and Intellectual Property

10.1 Ownership of output: subject to these Terms, the AI content generated from your input ("Output Content") belongs to you. You may use the Output Content for any lawful purpose permitted under these Terms.

10.2 License to input: by submitting content to the Service ("Input Content"), you grant the Platform a limited, non-exclusive license solely to provide the Service to you. We will not use your Input Content to train AI models without your explicit consent.

10.3 AI output accuracy: AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying output content before relying on it.

11. Disclaimers and Limitation of Liability

11.1 The Service is provided "as is" and "as available", without any express or implied warranties, including merchantability, fitness for a particular purpose, or accuracy of AI output.

AI-generated content disclaimer: AI output from the Service may be inaccurate, incomplete, or outdated. Do not use it for legal, medical, financial, or other professional advice. Always verify AI-generated content with a qualified professional before acting on it.

11.2 To the maximum extent permitted by applicable law, the Platform shall not be liable for any indirect, incidental, consequential, or punitive damages. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

12. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your account if you materially breach these Terms, engage in suspected fraud, or if required by law. If we terminate the Service other than for your breach, we will refund a proportional amount of any prepaid, unused fees. You may delete your account self-service at any time from the user menu in /app (effective immediately), or request it by contacting support@socraticgate.com (we respond within 30 calendar days and complete deletion or anonymization within 90 days thereafter). If you disagree with an outcome, you may appeal through the same email and we will have it reviewed by an independent reviewer.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the mainland of the People’s Republic of China. Before initiating formal proceedings, please first contact us at support@socraticgate.com to attempt an amicable resolution.

14. General Provisions

We may update these Terms at any time. Material changes will be notified by email at least 14 days before they take effect. Continued use constitutes acceptance. If any provision is held invalid, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Platform.
